We are seeking a highly capable and motivated In-House Counsel to join our growing legal team. This individual will play a critical role in supporting the company’s day-to-day operations, with a primary focus on corporate governance, commercial contracts, and general legal matters that arise in a fast-paced, mission-driven environment. The role offers the opportunity to contribute meaningfully to strategic decision-making while supporting operational excellence across the business. This is a hybrid position based in Austin, TX, with regular in-office presence expected at least twice a week. Key Responsibilities Provide timely, pragmatic legal advice to internal stakeholders across departments, with an emphasis on corporate, commercial, and operational matters. Draft, review, and negotiate a wide range of commercial agreements, including MSAs, NDAs, vendor and services contracts, consulting agreements, and strategic partnerships. Support corporate governance and entity management, including Board and shareholder matters, corporate filings, and policy implementation. Collaborate cross-functionally to ensure legal compliance and risk mitigation while enabling business priorities. Advise on regulatory and compliance issues as they pertain to the company’s operations, particularly in relation to R&D, partnerships, and external communications. Supervise and support consistency and efficiency in contracting processes. Assist the CLO, CEO and the Board on special projects, including strategic transactions, international expansion, and legal operations improvements. Stay current with relevant U.S. laws and regulations, and help implement best practices across the organization. Required Qualifications Active license to practice law and in good standing in at least one U.S. state, preferably Texas Demonstrated experience handling complex corporate and commercial legal matters. Strong drafting and negotiation skills, attention to detail, and sound judgment. Excellent communication and interpersonal skills, with a collaborative, business-enabling mindset. Preferred Qualifications Open to junior lawyers but preferred would be > 2 years of legal experience Familiarity with regulatory frameworks relevant to the venture backed & growth startups Interest or experience in biopharmaceutical industry, including FDA regulations (such as GxP standards, IND submissions, clinical trial compliance, and promotional review) as well as healthcare compliance laws (e.g., anti-kickback statutes) and data privacy regulations (e.g., HIPAA).
